Terms & Conditions
Version history maintained. Changes are reviewed and approved before publication, and clients are asked to re-confirm material changes.
1. Who we are
These Terms & Conditions are between you and A-Davis Solutions Ltd ("we", "us", "our"), the provider of the AliraProject project management SaaS platform ("the Service"). By registering for or using the Service, you agree to be bound by these terms.
2. Acceptance
By creating an account, accessing, or using the Service, you confirm that you have the authority to enter into these terms (on behalf of yourself or your organisation) and that you are at least 18 years old. If you do not agree, you must not use the Service.
3. What we provide
AliraProject is a cloud-based project management workspace for PMO teams and freelancers. Features include project planning, task tracking, kanban boards, timeline views, budgeting, risk and issue registers, reporting, stakeholder mapping, and related collaboration tools. We may add, modify, or remove features from time to time.
4. Acceptable use
You must not use the Service:
- for any unlawful purpose or in violation of applicable laws;
- to transmit fraudulent, misleading, spam, or malicious content;
- to infringe intellectual property or other rights;
- to interfere with the security, availability, or integrity of the Service; or
- to scrape, probe, or reverse engineer the Service without our consent.
5. Accounts and security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must provide accurate information and keep it up to date. Notify us immediately of any unauthorised use.
6. Intellectual property
We own all rights in the Service, including software, branding, documentation, and related intellectual property. We grant you a limited, non-exclusive, non-transferable licence to use the Service during your subscription. You retain ownership of any data you upload, and you grant us a licence to host and process that data solely to provide the Service.
7. Your data: ownership, controller status and compliance
You retain exclusive ownership of all information you upload to, or create within, the Service ("Customer Data"). Where that data contains personal data, you are the Data Controller and A-Davis Solutions Ltd acts solely as your Data Processor, processing Customer Data on your documented instructions and only to provide the Service.
You are entirely responsible for ensuring that the content of your data, and its hosting and processing through the Service, complies with all applicable laws and regulations. In particular, you are responsible for:
- having a valid lawful basis (and, where required, consent) for uploading and processing any personal data;
- issuing privacy information to the individuals whose data you upload, and handling their data subject rights requests;
- deciding what data is appropriate to upload, including whether to upload it in identifiable or anonymised/pseudonymised form; and
- controlling who in your workspace can access that data, using the roles, project membership, and tab-level permissions we provide.
Special category and regulated data. AliraProject is a project and portfolio management tool. It is not designed, sold, or certified as a clinical, medical records, or health information system. You should not upload special category personal data — such as patient or health records, biometric data, or criminal offence data — unless you have independently satisfied yourself that doing so is lawful and appropriate, and you have carried out any required assessment (for example a Data Protection Impact Assessment). Where such data is uploaded, it remains yours and your responsibility, and we strongly recommend anonymising or pseudonymising it first. If you require a written Data Processing Agreement before processing such data, contact us at Contact@adavissolutions.com.
We will not access, use, sell, or disclose Customer Data except as needed to provide and support the Service, or where required by law. You grant us a limited licence to host and process Customer Data solely for those purposes. You are responsible for exporting your data before your retention period ends, as set out in our Privacy Notice.
8. Payment, billing and subscriptions
AliraProject is offered on a subscription basis. Fees are charged per user per month and billed in accordance with the plan selected. Payment, billing, tax, invoicing, subscription renewals, cancellations, and refund mechanics are handled by our online reseller, Paddle.com. Please refer to Paddle's Buyer Terms for full details.
Free trial. New workspaces receive a 7-day free trial without payment details. At the end of the trial, continued access requires a paid subscription; otherwise the workspace becomes restricted.
Billing and cancellation. Subscriptions are billed in advance and renew automatically at the end of each billing period. You may cancel at any time, but you must cancel before your renewal date to avoid being charged for the next period. On cancellation, access continues until the end of the paid period. Fees for a period that has started are non-refundable, and no partial refunds or credits are given, except as set out in our Refund Policy or required by law.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
9. Service level
We aim to keep the Service available and error-free, but we do not guarantee uninterrupted access or that the Service will be free of defects. We may carry out maintenance that affects availability and will endeavour to give reasonable notice where possible.
10. Warranties and liability
The Service is provided "as is" to the fullest extent permitted by law. We disclaim all implied warranties, including merchantability and fitness for a particular purpose. Our aggregate liability is capped at the total fees paid by you in the 12 months preceding the claim. We are not liable for indirect, consequential, or special damages such as lost profits, data loss, or loss of goodwill, except where liability cannot be excluded by law (for example, fraud, death, or personal injury).
11. Suspension and termination
We may suspend or terminate your access if you materially breach these terms, non-payment occurs, or there is a security or fraud risk. You may cancel your subscription through your account settings or via Paddle. Upon termination, your right to use the Service ends immediately.
12. Governing law
These terms are governed by the laws of England and Wales, and any dispute arising out of them shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Changes to these terms
We may update these Terms & Conditions from time to time. We will notify you of material changes by email or through the Service. Continued use after changes take effect constitutes acceptance.
14. Contact
If you have any questions about these terms, please contact us at Contact@adavissolutions.com.
